Her practice focuses on a variety of corporate law matters, including public and private securities offerings, SEC reporting and compliance, and other general corporate matters. In addition, Allie assists with public and private companies in connection with mergers and acquisitions transactions.

  • Represents Sanara MedTech Inc. with respect to a broad range of corporate matters, including ongoing SEC reporting and compliance and corporate governance.
  • Represented Brand Engagement Network Inc., a provider of customer engagement AI technology, in its merger with special purpose acquisition company DHC Acquisition Corp. and public listing with an implied equity value of $358 million, as well as a $32.5 million raise of binding PIPE commitments.
  • Represented Liberty Energy Inc. in an underwritten public secondary offering of its Class A common stock by Schlumberger Technology Corporation.
  • Represented a regional restaurant chain, as securities counsel in the sale of shares of convertible preferred stock to private investors.
  • Represented an online generosity company, as securities counsel in the sale of shares of convertible preferred stock to a venture capital firm.
  • Represented The HC Companies, a leading North American manufacturer of horticultural containers, in the sale of its business to PE Amber Holding Corporation, an affiliate of global investment firm Platinum Equity.
  • Represented ProPath Holdings, PLLC, a physician operated pathology group, in the sale of 100% of its membership interests to Sonic USA Holdings, Inc.
  • Represented DCMM Rental One, Ltd., a full-service equipment and storage container rental company, in the sale of all its equity to Texas First Rentals, a division of HOLT.
  • Represented a construction management company that provides complete construction services for independent school districts, municipalities, higher education districts and government agencies, in the sale of its equity to an international project management and cost consulting firm.
  • Represented Frisco Community Tennis (FCT) in being awarded a management contract to oversee and manage over 100 public tennis courts located in Frisco, Texas, a growing suburb of Dallas.
